The agreement between your business and VAD Workspace.

Who we are and what these terms cover
These terms are an agreement between VAD Workspace ("we", "us") and the business that uses our services ("you"). They cover our website design projects, the VAD Workspace software (the admin dashboard and the client portal), and the free guided demo.
By creating an account, accepting a quote, or using the workspace, you agree to these terms on behalf of your business. If you do not agree, do not use the services.
Website projects
Website work is quoted per project. The scope, price and timeline are agreed in writing before work starts, and that written quote forms part of this agreement. Changes to the agreed scope are quoted separately before they are done.
You are responsible for the content you give us (text, photos, logos) and for having the right to use it. We build from that content and from the designs you approve in the client portal.
The workspace subscription
If you add the workspace, it is billed monthly at the price agreed with you in writing. There is no minimum term: you can cancel at any time, and the subscription ends at the close of the billing period you have paid for.
We may change subscription prices for future billing periods. We will tell you in writing at least 30 days before a change applies to you.
The free 3-day guided demo
The guided demo is free and does not commit you to anything. It does not start a paid subscription, and nothing is charged at the end of it.
Payment
Invoices are due by the date shown on the invoice. If an invoice is overdue, we may pause work on a project or access to the workspace until it is paid, after telling you first.
Your account and your team
You are responsible for keeping sign-in details private and for what happens under your accounts, including the accounts of your staff and of the clients you invite into your portal. Tell us straight away at support@vadworkspace.com if you think an account has been misused.
Acceptable use
You must not use the services to:
- break any law, or store or send content you do not have the right to use
- send spam or unsolicited bulk messages
- try to access another business’s data, or to test, probe or disrupt the service without our written permission
- upload malware or anything designed to harm the service or other users
Your data stays yours
Everything you put into the workspace — clients, projects, documents, invoices and messages — belongs to you. We use it only to provide the service to you, as described in our privacy policy.
Owners and administrators can download your clients, contacts, projects, tasks, invoices and payments as spreadsheets at any time from Settings → Data export, and download any stored document from the workspace. You can also ask us for a complete copy by writing to support@vadworkspace.com. If you close your account, we keep your data for 30 days so you can take that copy, and then delete it, except where the law requires us to keep records longer.
Availability and changes to the service
We work to keep the service available and your data safe, but we cannot promise it will never be interrupted. We may improve or change features over time; if we remove something you rely on, we will tell you in advance.
Limit of liability
To the extent the law allows, we are not liable for indirect or consequential losses such as lost profits or lost business. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these terms limits liability that cannot be limited by law.
Ending the agreement
You can stop at any time, as described above. We may suspend or close an account that seriously or repeatedly breaks these terms, after giving notice where we reasonably can.
Changes to these terms
If we change these terms, we will post the new version here with a new effective date and, for material changes, tell you by email at least 30 days before they apply.
Governing law and contact
These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada that apply there.
